Welcome to Ritune.me, an online platform and mobile app for wellness and meditation-based audio courses (the "Service"). These Terms and Conditions ("Terms") govern your access to and use of the Service, whether on our website or through our mobile applications. Please read these Terms carefully. By accessing or using Ritune.me or any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree with these Terms, do not use the Service.

Acceptance of Terms

By using Ritune.me or downloading our app, you confirm your acceptance of and agreement to these Terms. Your use of the Service constitutes a binding agreement between you (the user) and Ritune (referred to as "Ritune", "we", "us", or "our"). You are not required to explicitly click "Accept"; using the Service in any manner signifies your consent to these Terms. If you do not agree to these Terms at any point, you must stop using the Service immediately. These Terms apply to all users worldwide, and additional terms may apply for specific features or promotions (such additional terms will be presented to you as applicable and are incorporated herein by reference).

Changes to the Terms

Ritune reserves the right to modify or update these Terms at any time. We will indicate the "Effective Date" at the top when we make changes. It is your responsibility to review these Terms periodically for updates. We may notify you of significant changes via email or through the Service, but continued use of the Service after any changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the Service.

User Accounts and Security

Some features of the Service may require you to create a user account. When creating an account, you agree to provide true, accurate, current, and complete information about yourself. You also agree to update such information promptly if it changes. Use of the Service also constitutes consent to our data practices as described in our Privacy Policy (including the collection of basic personal information). You agree that we can use your information in accordance with our Privacy Policy to provide and improve the Service.

Purchases, Billing, and Refunds

Ritune offers both free and paid content. Paid content may be offered as subscription plans or one-time purchases. This section explains the terms related to purchasing access to premium content, billing procedures, and our refund policy:

• Subscriptions: If you purchase a subscription (such as a monthly or annual plan), it will automatically renew at the end of each billing cycle unless you cancel it beforehand. By starting a subscription, you authorize us to charge the applicable subscription fee (plus any taxes) to your provided payment method on a recurring basis. Subscription fees are charged in advance of each subscription period. You can cancel your subscription at any time through your account settings or the platform through which you subscribed (e.g., the app store or our website). If you cancel, your subscription will remain active until the end of the then-current paid period, and no further charges will be made. However, no refunds will be provided for the remaining period of a subscription that you cancel before its expiration, except where required by law.
  
  
• One-Time Purchases: Certain courses, sessions, or features may be offered for a one-time fee (non-recurring purchase). When you make a one-time purchase, you gain access to that content for as long as we make it available on the Service (or for the specified duration, if indicated). All one-time purchase sales are final. We do not offer refunds or exchanges for one-time content purchases once access has been granted, except as required by applicable law or at our sole discretion in extraordinary cases.
  
  
• Payment Methods: We use third-party payment processors (for example, credit card processors or app store payment systems) to handle financial transactions. By providing a payment method, you represent that you are authorized to use that payment method and you authorize us (and our payment processors) to charge the full amount of your purchase (including subscription renewals) to that payment method. All prices are listed in the currency indicated and may exclude taxes (sales tax, VAT, etc.) unless stated otherwise. You are responsible for any applicable taxes or bank fees. If your payment method fails or is declined, we may suspend or cancel your access to paid content. You must update your billing information promptly to avoid interruption of service. Ritune reserves the right to change prices for subscriptions or content; if we do, we will notify subscribers in advance and such changes will apply at the start of the next billing cycle.
  
  
• Billing Through App Stores: If you subscribed to Ritune through a third-party app marketplace (such as Apple App Store or Google Play Store), the billing for your subscription is handled by that marketplace under its own terms. Any requests for refunds for purchases made through an app store must be directed to that store, as our ability to process refunds may be limited by their policies. We are not responsible for the app store’s own billing processes or any delays/errors in their handling of payments. Be sure to review the relevant app store terms and conditions for details on managing subscriptions and refunds.
  
  
• Refund Policy: In general, all charges and fees are non-refundable. This means that once you have been billed for a subscription period or have purchased content, you will not receive a refund for that charge, except where required by law or explicitly stated otherwise. For example, some jurisdictions may provide a statutory "cooling-off" period or other rights; we will honor such rights as applicable. If you believe you have a compelling case for a refund (such as being incorrectly charged or experiencing a technical issue with paid content), please contact us at the address in the Contact Information section. Any refund requests will be handled on a case-by-case basis at our sole discretion. Approval of a refund in one instance does not entitle you to a refund in the future for similar instances.
  
  

Use of Content and Intellectual Property

All content available on Ritune.me and its app – including but not limited to audio courses, guided meditation recordings, text, graphics, logos, images, videos, software, and overall design – is the intellectual property of Ritune or its content providers and is protected by copyright, trademark, and other intellectual property laws. Ritune (along with any licensors or contributors) retains all rights, title, and interest in the Service and its content.

Subject to your compliance with these Terms and any applicable payments, Ritune grants you a limited, non-exclusive, non-transferable, revocable license to access and use the content from our Service for your personal, non-commercial use only. This means you may stream or view/listen to our courses and materials for your own personal wellness purposes. You may not copy, download (unless explicitly enabled for download), reproduce, record, distribute, transmit, publish, display, perform, modify, create derivative works from, license, or otherwise exploit any content from the Service without our prior written consent. Any attempt to reverse engineer, decompile, or extract source code from our software or databases is strictly prohibited.

You also agree not to remove, obscure, or alter any copyright, trademark, or other proprietary rights notices displayed in the Service or in the content. The trademarks, logos, and service marks displayed on Ritune.me (including the "Ritune" name and logo) are registered and unregistered trademarks of Ritune and possibly other third parties. No license or right is granted to you to use any of these trademarks without the prior written permission of the rightful owner. Unauthorized use of our intellectual property is a violation of these Terms and may also violate applicable law.

We reserve all rights not expressly granted to you in these Terms. If you violate these Terms, your permission to use the content and the Service automatically terminates and we may suspend or terminate your account (see Termination section below) and pursue any other legal remedies available.

User-Generated Content

Our Service may allow users to contribute or post content such as comments, reviews, ratings, feedback, or participation in community forums ("User-Generated Content" or "UGC"). If you post or upload any UGC, the following terms apply:

• Your Responsibility: You remain the owner of the content you create, but by submitting UGC on Ritune, you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify (for formatting or clarity), adapt, publish, translate, create derivative works from, distribute, perform, and display such content on the Service and in any marketing or promotional materials. This license is necessary for us to operate the Service (for example, to display your comments to other users). You also grant other users of the Service the right to access and use your UGC as permitted by the functionality of the Service and these Terms.
  
  
• Appropriateness and Rights: You represent and warrant that you have all necessary rights to post your UGC and that doing so does not infringe or violate the rights of any third party (including intellectual property, privacy, or publicity rights). Do not upload or post any content that is unlawful, infringing, defamatory, obscene, pornographic, harassing, threatening, or otherwise objectionable. You also agree not to post content that contains personal information of others (e.g., names, contact details) without their consent, or any sensitive information. • No Endorsement: Ritune does not endorse, guarantee, or assume responsibility for any UGC posted by users. Any opinions or advice expressed by users in their content are solely those of the users themselves, not of Ritune. We are not liable for any mistakes, defamation, omissions, falsehoods, obscenity, or illegalities you may encounter in UGC.
  
  
• Monitoring and Removal: We reserve the right (but have no obligation) to monitor, review, or moderate any UGC on our platform. We may remove or disable access to any UGC at our sole discretion for any reason, including if we believe it violates these Terms or our policies, or is otherwise harmful, offensive, or inaccurate. We may also terminate or suspend the account of any user who repeatedly violates the rules regarding UGC or engages in prohibited conduct. However, we cannot review all UGC and rely on users to report problematic content. If you encounter content that you believe violates these Terms, you can report it to us using the contact information provided.
  
  
• User Interactions: If the Service includes any community features (such as forums or direct messaging between users), you are solely responsible for your interactions with other users. Exercise caution and common sense when sharing personal information online. We are not responsible for any disputes or harms arising from user-to-user communications, but we reserve the right to become involved as we deem necessary to enforce these Terms.
  
  

By posting any UGC, you acknowledge that such content is non-confidential and may be visible to others. Ritune takes no responsibility and assumes no liability for any UGC posted by you or any third party, and you agree to indemnify us for any claims arising from your UGC (see Limitation of Liability and Indemnification, if applicable, below).

Prohibited Conduct

In using Ritune.me and our app, you agree to follow these rules of conduct. You must not engage in any of the following activities, nor assist or encourage others to do so:

• Illegal Activities: Do not use the Service for any unlawful or fraudulent purpose. You agree to comply with all applicable laws, regulations, and ordinances in connection with your use of Ritune.

• Harassment and Hateful Content: Do not harass, bully, abuse, or intimidate others. Avoid content or behavior that is defamatory, obscene, offensive, or discriminatory. Hate speech or content that attacks or demeans a group or individual on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or any other characteristic is strictly prohibited. Likewise, do not encourage or glorify violence, self-harm, or any dangerous activities.
  
  
• Spamming and Disruption: Do not spam others on the Service with unsolicited advertising, promotional materials, or other forms of solicitation. If you are dissatisfied with the Service or any content, or with these Terms, your sole and exclusive remedy is to discontinue use of the Service.

Limitation of Direct Damages: To the extent that any liability is not legally excludable, you agree that our total cumulative liability to you for any claims arising out of or related to these Terms or the Service, regardless of the form of the action, will not exceed the amount (if any) that you have paid to Ritune for the Service in the last twelve (12) months or, if greater, fifty U.S. dollars (USD $50). If you have not made any paid purchases, Ritune’s liability to you shall be zero in all cases.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of liability for certain damages (such as death or personal injury caused by negligence, or fraudulent misrepresentation). Nothing in these Terms shall exclude or limit our liability to the extent such exclusion or limitation is prohibited by law. Additionally, any statutory rights you may have as a consumer (for example, under consumer protection laws) are not affected by this clause, and we do not exclude or limit liability that cannot be limited under such laws.

You agree that any claim or cause of action arising out of your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or else it will be permanently barred (unless a longer period is required by applicable law).

Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to them or the Service will be governed by and construed in accordance with the laws of the State of Utah, USA, and, to the extent applicable, the federal laws of the United States, without giving effect to any conflict of law principles that would result in the application of the laws of another jurisdiction. If you are accessing the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the state and federal courts located in Utah, USA, unless otherwise required by applicable consumer protection laws (for instance, laws that might give you the right to bring an action in your home country). You and Ritune consent to the personal jurisdiction of such courts. Notwithstanding the foregoing, Ritune reserves the right to seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or enforce these Terms.

International Users: We intend our Service to be accessible to users around the world. However, we make no representations that the Service is appropriate or available in any particular location. Those who choose to access the Service from outside of the United States do so at their own risk and are responsible for compliance with local laws. Note that you may also have rights under the laws of your country of residence that apply to your use of the Service, and these Terms are not intended to limit your consumer protection rights under those local laws.

Termination

Termination by Ritune: We reserve the right, in our sole discretion, to suspend or terminate your account or your access to all or part of the Service at any time, with or without notice, for any reason. This includes, without limitation, if we believe you have violated these Terms, applicable law, or any agreements or policies referenced herein. We may also terminate the Service or any portion of it, or discontinue offering any content or feature, at any time without notice. In such cases, we will have no liability to you or any third party for any termination of your access to the Service or removal of your User-Generated Content.

Termination by You: You may stop using the Service at any time. If you wish to delete your account, you may do so by following the instructions on the site/app or by contacting us. Termination of your account will be effective once processed, and you will lose access to any content or features that require an account. If you terminate a subscription before the end of a paid period, no refund will be provided for the remaining time (see Purchases, Billing, and Refunds above for details).

Effects of Termination: Upon any termination of your account or access, whether by you or by us, the rights and licenses granted to you under these Terms will immediately end. You must cease all use of the Service and content. Any accrued obligations or liabilities prior to termination (including any payment obligations) and sections of these Terms that by their nature should survive (such as intellectual property provisions, disclaimers, limitations of liability, governing law, etc.) will survive termination. Even after your access to the Service is terminated, these Terms will remain enforceable against you with respect to any prior use of the Service and anything that arose from such use.
